Consultant Membership Subscription Appendix
Sleep consultants are invited to subscribe to a monthly membership to join a sleep consultant community and participate in ongoing training and mentoring from our coaches.
This is an optional rolling monthly subscription that may be cancelled at any time with just 30 days notice.
Membership is available to support consultants and there are optional levels to choose from as shown in the Key Details here: https://www.sleepnanny.net/keydetails
2. Consultant Membership On-line subscription
Consultant Membership subscription is open to people who have completed a ‘certification’ level of the Sleep Nanny Academy training. Consultants who have completed training elsewhere may also subscribe to our Consultant Membership at ‘Standard’ level only. You can choose a membership level and enrol online via a check out line (“Subscription”). Depending on the Subscription you have purchased, we will provide you with access to our portfolio of packages. 3. Payment and Cancellation
3.1 Subscriptions for our Consultant Membership are on a rolling prepaid 1-month subscription period (the “Subscription Period”). Your Subscription will automatically renew at the end of each Subscription Period for another 1-month term. You agree that we may automatically renew your Subscription on the one month anniversary of your last subscription date (the “Renewal Date”), unless you terminate your Subscription before the Renewal Date by giving 30 days prior written notice. We will automatically renew your Subscription each month on the Renewal Date until you terminate your Subscription or we no longer offer the Subscription or similar Consultant Membership subscriptions.
3.2 To terminate your Subscription without your account being charged for the next term, you must do so before the Renewal Date by giving 30 days prior written notice. Please keep a record of when your Subscription Period ends and the next Renewal Date. Such notice will take effect at the new Renewal Date if you have given 30 days prior written notice, or the next Renewal Date following 30 days prior written notice. For example, if your Renewal Date is the 1st of the month and you give 30 days notice on 25th February, your Subscription will be terminated on 31st March, just before the next Renewal Date. Any earlier termination is at our discretion. Your pass/ on-line membership rights will continue until your Subscription ends. You may notify us of your wish to terminate your Subscription by contacting us on email@example.com or 0330 9998890. Please see Clause 7 of the Terms of Purchase for details of our cancellation policy.
3.3 The renewal payment is due on the Renewal Date and will automatically be charged using the same payment method that you used for the original Subscription or the most recent renewal. Please notify us on firstname.lastname@example.org before the Renewal Date of any changes to your email, account or billing information. You will also receive a notice if there are any changes to these Terms. In relation to your Consultant Membership Subscription, your right to cancel and obtain any refund in accordance with the 14 day period set out in clause 7 of the Terms of Purchase will be lost if you have given us express consent to start access to the Consultant Membership Subscription during the cancellation period.
3.4 We may cancel your Subscription to the Consultant Membership Program by giving you 14 days notice at any point that the Subscription service will be terminating and you will only have to pay up to that point.
3.5 If we do not receive payment authorization for a Subscription or any authorization is subsequently cancelled, we may immediately terminate or suspend your access to your Subscription and may in suspicious circumstances contact the issuing bank and/ or law enforcement authorities/other appropriate third parties.
4. Intellectual Property
4.1. For the avoidance of doubt, any rights to use branded promotional material under the “Standard” or “Professional” Subscription plan shall terminate immediately if either of us terminates that Subscription.
4.2. If you purchase a Membership Subscription from us AND you are a Certified Sleep Nanny Consultant, we will also grant you a non-exclusive licence to use “Sleep Nanny” branded promotional materials as further detailed in that subscription and www.sleepnannyacademy.com/grads
4.3. You shall indemnify us against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by us arising out of or in connection with your exercise of your rights granted under this agreement relating to promotional/branded materials if you purchase a subscription.
